Terms & Conditions and Platform Use Agreement
1. Acceptance of Terms
This website, platform, and all related digital services (collectively, the “Platform”) are owned and operated by Taco Spot Franchise LLC, doing business as Taco Cloud (“COMPANY,” “we,” “our,” or “us”).
By accessing, registering for, or using Taco Cloud, you agree to be bound by these Terms and Conditions, our Privacy Policy, and any additional policies or guidelines communicated by Taco Spot Corporate.
If you do not agree to these Terms, you must not access or use the Platform.
Accessing the Platform in any manner—whether automated or manual—constitutes acceptance of these Terms.

Taco Cloud is a centralized digital platform designed to support the Taco Spot franchise ecosystem, providing:

Operational tools and workflows
Training materials and internal resources
Communication and reporting tools
The Platform is intended exclusively for approved franchisees, corporate staff, and authorized employees.
Access is role-based, restricted, and subject to verification, approval, and ongoing authorization by Taco Spot Corporate.
3. Account Registration, Verification & Approval
To access Taco Cloud, users must:
Register using accurate, complete, and truthful information
Maintain up-to-date account details
Comply with all verification requirements
All registrations are subject to corporate review and approval.
Taco Spot Franchise LLC DBA Taco Cloud reserves the right, at its sole discretion, to:
Approve or deny any registration
Modify user access levels
Suspend or revoke access at any time, with or without notice
You are responsible for all activity conducted under your account credentials.
4. Free Platform Access & Optional Services
Access to the core Taco Cloud platform is provided at no cost to approved franchisees as part of Taco Spot’s investment in technology, operations, and system standardization.
From time to time, optional tools, features, integrations, or services may be offered, including services provided by third-party vendors.
Any paid service requires explicit user authorization
All third-party services are subject to their own terms, conditions, and pricing
Taco Cloud is not responsible for third-party billing, performance, or service availability
5. User Responsibilities & Acceptable Use
By using Taco Cloud, you agree to:
Use the Platform solely for authorized business and operational purposes
Maintain the confidentiality of your login credentials
Follow all internal policies, franchise agreements, and applicable laws
Avoid misuse, abuse, reverse engineering, or unauthorized data extraction
Any unauthorized use, misuse, security violation, or policy breach may result in immediate suspension or termination of access.
6. Third-Party Tools & Integrations
Taco Cloud may integrate with or provide access to third-party tools, platforms, or services.
We do not control and are not responsible for:
Third-party content
Pricing or subscription changes
Availability or service interruptions
Performance, warranties, or representations
Your use of third-party services is solely between you and the provider.
7. Intellectual Property Rights
All software, systems, content, workflows, branding, trademarks, documentation, and materials within Taco Cloud are the exclusive property of Taco Spot Franchise LLC DBA Taco Cloud or its licensors.
You may not:
Copy, reproduce, modify, distribute, or resell any Platform materials
Create derivative works
Use the Platform for competing or unauthorized purposes
Limited, non-transferable access is granted solely for approved internal use.
8. Disclaimers & Limitation of Liability
Taco Cloud is provided “as is” and “as available.”
To the fullest extent permitted by law:
We disclaim all warranties, express or implied
We are not liable for indirect, incidental, consequential, or special damages
We are not responsible for downtime, data loss, or service interruptions
Use of the Platform is at your own risk.
9. Suspension & Termination
We reserve the right to suspend or terminate access to Taco Cloud at any time due to:
Policy or Terms violations
Security or compliance concerns
Franchise status changes
Corporate, legal, or operational decisions
Upon termination, all access rights immediately cease.
10. Modifications to Terms
We may update or modify these Terms and Conditions at any time.
Updated Terms will be posted on the Platform with a revised effective date.
Continued use of Taco Cloud after updates constitutes acceptance of the revised Terms.
11. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to conflict of law principles.
Any disputes shall be resolved exclusively in the appropriate jurisdiction within Arizona.

This section supplements the existing Terms and Conditions of Taco Cloud and applies specifically to communications sent via SMS, text messaging, or similar mobile communication channels.
1. SMS & Messaging Use Cases
By providing your mobile phone number and opting in, you authorize Taco Cloud to send you SMS messages related to service notifications, account updates, marketing and promotional offers, appointment reminders, order information, and other operational communications as part of the services offered by the Company.
These messages may be sent using automated technology. Your consent is not a condition of purchase, and messaging is limited to communications relevant to the service you have requested or subscribed to.
2. Opt-Out / Stop Instructions
You may opt out of receiving SMS messages at any time.
To opt out, reply STOP to any message you receive from Taco Cloud.
After opting out, you will no longer receive SMS communications unless you re-subscribe or provide a new consent.
3. Message & Data Rates
Message and data rates may apply from your mobile service provider. Taco Cloud has no control over these charges and is not responsible for any fees assessed by your carrier.

5. Carrier Liability Disclaimer
